# Robo-voting and proxy advisors

Fund families now vote at thousands of shareholder meetings a year, and many follow proxy advisors' recommendations almost automatically. Yet only 9 recent papers in the archive carry a shareholder-voting or proxy-advisor keyword, none of them about funds. Does robo-voting decide close votes, and has pass-through voting changed that?

## What prompted this

Since October 2025, only 9 papers carry a proxy-advisor, shareholder-voting or proxy-voting keyword (4 in economics journals, 2 in accounting, 2 in finance, 1 in management), and none of them carries a passive-fund, index-fund, institutional-investor, mutual-fund or robo keyword. Board composition, by contrast, is one of the fastest-growing keywords across all journals ([trends page](/trends)).

## Questions

- How often do funds vote exactly as a proxy advisor recommends, within hours of the recommendation, and does that decide close votes?
- Do companies change their proposals to win the advisors' support?
- Has pass-through voting, which lets fund investors choose how their shares are voted, changed outcomes?

## Data that could help

Fund voting records (Form N-PX filings, ISS Voting Analytics), proxy advisors' recommendations, vote results and meeting dates.

## Next step

From N-PX filings, compute for each fund family the share of votes cast as ISS recommended and the time between the recommendation and the vote.
