Merger review and what happens to the deals
Mergers and acquisitions appear on 228 recent papers, but only 31 of them carry a merger-control, competition-policy or enforcement keyword. Merger enforcement tightened in the US and Europe after 2021 and loosened again in places since. Did the threat of review stop deals, reshape them, or simply delay them?
What prompted this
Since October 2025, 228 papers carry a merger, acquisition or takeover keyword (111 in finance journals, 68 in economics, 24 in management), with "mergers and acquisitions" on 122. Only 31 of them also carry an antitrust, merger-control, competition-policy, enforcement, competition-law or market-power keyword; "merger control" appears on 11 and "competition policy" on 34.
Questions
- After the US agencies' tougher guidelines in 2023, did the number of large horizontal deals fall, or did firms switch to deals below reporting thresholds?
- Do deals that are challenged and then completed with remedies deliver the price effects that the remedies were meant to prevent?
- Did acquirers' stock reactions to deal announcements change with the perceived enforcement regime?
Data that could help
Deal data (SDC Platinum, Zephyr), enforcement actions and second requests, and product prices in affected markets.
Next step
Count announced deals by size relative to the reporting threshold before and after the 2023 guideline change and look for bunching just below it.
